Terms of Service

1.Agreement to these Terms

AegisRoad is operated by Fort Detroit Logistics LLC (“Company,” “we,” “us,” or “our”). “AegisRoad” or the “Service” means the AegisRoad website, mobile applications, and related features and services we provide. “You” or “Customer” means the individual or business that accesses or uses the Service.

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business. If you do not agree to these Terms, do not use the Service.

2.The Service

AegisRoad helps commercial fleets manage their vehicles from the phones and tablets drivers already carry. Features may include live GPS location, geofencing and route intelligence, driver vehicle inspection reports (DVIR), preventive-maintenance scheduling and reminders, driver scorecards, document-expiry alerts, team messaging, and related tools. Optional engine-diagnostics (OBD) features may be offered in the future and may require separate hardware.

We may add, change, or remove features at any time. The Service depends on the availability, accuracy, and coverage of your devices, GPS, cellular and internet connectivity, and third-party data, none of which we control or guarantee.

3.Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for commercial and business use, not for personal, household, or consumer purposes.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We are not liable for losses arising from unauthorized use of your account.

Authorized users

Your account may include administrators, managers, and drivers you invite (“Authorized Users”). You are responsible for your Authorized Users’ use of the Service and for ensuring they comply with these Terms. You are responsible for the accuracy of the information you and your Authorized Users enter.

4.Driver tracking & consent

The Service collects vehicle and location data, including background location while tracking is active, so that you can manage your fleet. You are solely responsible for obtaining any consents and for complying with all laws that apply to monitoring your drivers and vehicles, including employee-notice and consent requirements, labor laws, and privacy laws in the jurisdictions where you operate.

You represent that you have the legal right and authority to collect and process the location and vehicle data of the drivers and vehicles you add to your account. Drivers may control tracking through the in-app tracking toggle where the Service provides one. How we handle location and other data is described in our Privacy Policy.

5.Subscriptions, billing & trials

Pricing

AegisRoad is billed at $12.99 per active tracked vehicle, per month, from the first vehicle. Drivers are unlimited and free. A vehicle is billable when it is active and has tracking enabled. Any optional add-ons (such as engine-diagnostics/OBD features, offered at $19.99 per vehicle, per month when available) are billed separately and only if you enable them. Eligible TDNetworkPro Team-bundle subscribers receive three (3) AegisRoad vehicles at no additional charge; vehicles beyond that are billed at the standard rate.

Free trial

New accounts may start a 14-day free trial. A valid payment method is required to begin the trial. Unless you cancel before the trial ends, your subscription will automatically begin and your payment method will be charged at the then-current rate.

Renewal & authorization

Subscriptions renew automatically each month until canceled. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis for your subscription and any add-ons or added vehicles, plus applicable taxes. Charges adjust as you add or remove vehicles.

Cancellation & refunds

You may cancel at any time from your account. Cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or vehicles removed mid-cycle.

Price changes, taxes & failed payments

We may change pricing; changes apply to billing periods after we give you reasonable notice. You are responsible for any applicable taxes. If a payment fails, we may retry the charge and may suspend or downgrade the Service until payment is resolved.

Payments are processed by our third-party payment processor (Stripe). We do not store your full card number. Your use of payment features is also subject to the processor’s terms.

6.Acceptable use

You agree not to, and not to allow any Authorized User or third party to:

• use the Service for any unlawful, harmful, or fraudulent purpose, or in violation of any applicable law or regulation;
• monitor, track, or collect data about any person without the legal right and any required consent to do so;
• resell, sublicense, rent, or provide the Service to third parties except your own Authorized Users;
• copy, modify, reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law;
• interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, our systems, or other accounts;
• upload malware or transmit content that is illegal, infringing, or violates the rights of others; or
• use the Service to build a competing product or benchmark it without our permission.

We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to the Service, other users, or third parties.

7.Your data & ownership

As between you and us, you own the data you and your Authorized Users submit to the Service, including vehicle, driver, inspection, maintenance, and location records (“Customer Data”). You grant us a non-exclusive, worldwide license to host, process, transmit, and display Customer Data solely to provide, maintain, secure, and improve the Service, and as otherwise described in our Privacy Policy.

You are responsible for the accuracy, quality, and legality of Customer Data and for having the necessary rights and consents to provide it. We may use aggregated or de-identified data that does not identify you, your drivers, or your vehicles to operate and improve the Service.

8.Third-party services

The Service relies on third-party providers, which may include payment processing (Stripe), maps and traffic data (such as Google Maps), weather and radar data, email delivery, and cloud hosting and database infrastructure. Your use of features that depend on these providers may be subject to their terms, and we are not responsible for third-party services, their availability, accuracy, or their acts or omissions. Third-party maps, traffic, and weather data are provided by their respective owners and may be delayed or inaccurate.

9.Regulatory & safety disclaimer

DVIR, maintenance, document-alert, and similar features are operational and record-keeping aids. They do not guarantee that a vehicle is roadworthy, that an inspection was performed correctly, that maintenance is complete, or that you are in compliance with any law or regulation. You remain solely responsible for vehicle inspections, maintenance, driver qualification, safe operation, and all regulatory obligations that apply to your operation.

Location, telematics, and analytics data may be delayed, incomplete, or inaccurate due to GPS, device, connectivity, and third-party limitations. Do not rely on the Service as the sole basis for any safety-critical, emergency, dispatch, or legal decision.

The Service and its content do not constitute legal, regulatory, tax, or professional advice. For tax questions, including any potential deductibility of subscription costs, consult your tax professional. For legal and compliance questions, consult qualified counsel.

10.Intellectual property

The Service, including its software, design, text, graphics, and the AegisRoad name and logo, is owned by the Company and its licensors and is protected by intellectual-property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. All rights not expressly granted are reserved. You may not use our names, logos, or trademarks without our prior written permission.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.

11.Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DATA (INCLUDING LOCATION DATA) WILL BE ACCURATE OR TIMELY, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12.Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13.Indemnification

You will defend, indemnify, and hold harmless the Company and its owners and employees from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your Customer Data or your Authorized Users; (c) your failure to obtain required driver or employee consents or to comply with applicable laws; or (d) your violation of these Terms or the rights of any third party.

14.Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, fail to pay, or if we reasonably believe it is necessary to protect the Service or others. We may also discontinue the Service with reasonable notice.

On termination, your right to use the Service ends. We handle retention and deletion of Customer Data as described in our Privacy Policy. Sections that by their nature should survive termination — including data ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

15.Changes to the Service & Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.

16.Governing law & disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, you and the Company agree to the exclusive jurisdiction and venue of the state and federal courts located in Michigan for any dispute not subject to arbitration.

Informal resolution

Before filing a claim, you agree to first contact us and attempt to resolve the dispute informally. We will try in good faith to resolve it within 30 days.

Binding arbitration & class-action waiver

To the extent permitted by law, any dispute that is not resolved informally will be settled by binding individual arbitration rather than in court, except that either party may bring a claim in small-claims court. You and the Company waive any right to a jury trial and to participate in a class or representative action. Arbitration will be conducted on an individual basis under the rules of a recognized arbitration provider, in Michigan or another mutually agreed location or format.

Nothing in this section limits either party’s right to seek injunctive relief to protect its intellectual property or confidential information.

17.General

These Terms and the Privacy Policy are the entire agreement between you and the Company regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you may be provided in the app, by email, or by posting to the Service.
